HULAYA – TERMS OF SERVICE

1. Introduction

Welcome to Hulaya.
These Terms of Service (“Terms”) govern your access to and use of the Hulaya platform (“Platform”), available at hulaya.com, including all tools, services, features, listings, and content provided through the Platform.

By creating an account, booking a dance event, or listing an event, you agree to these Terms.

Hulaya is operated by:

2. Nature of the Hulaya Platform

2.1 Marketplace Only

Hulaya is a marketplace, not an organizer or event provider.

  • Hulaya does not host, conduct, or operate dance workshops, camps, or events.

  • Hulaya does not employ or contract dance teachers, instructors, or studios.

  • Hulaya does not guarantee the quality, safety, or legality of any event.

  • Hulaya is not party to the contract between a dancer (“Dancer”) and an organizer (“Organizer”).

Hulaya only provides:

  • Visibility

  • Search & filter functionality

  • Booking infrastructure

  • Stripe-based payment processing

  • Organizer dashboards

All responsibilities regarding the event lie solely with the Organizer.

3. Eligibility

Anyone may use the Platform.

If you are under 18, you confirm that:

  • your parent/guardian allows you to participate in any booked event, and

  • you are legally allowed to attend such events.

Hulaya is not responsible for verifying age or parental permission.

4. User Accounts

You must create an account to:

  • book an event

  • list an event

  • communicate with Organizers or Dancers

You agree to:

  • provide accurate information

  • maintain only one account per person

  • keep your login details secure

  • not create accounts on behalf of others

Hulaya may suspend or delete accounts that violate these Terms.

5. Event Listings

Organizers are fully responsible for:

  • event titles, descriptions, dates, locations

  • ticket prices and availability

  • photos, videos, media

  • safety of participants

  • venue quality and legal compliance

  • honoring all information provided in the listing

  • establishing their own refund policy

Organizers confirm they hold all intellectual property rights for uploaded content.

Hulaya is not responsible for:

  • accuracy of any listing

  • misrepresentations or errors by Organizers

  • last-minute changes made by Organizers

6. Fees & Pricing Structure

 

To ensure the operation, maintenance, and continuous development of the Hulaya platform, the following transaction-based service fees apply to every successful booking made through the Platform.

These fees support:

  • secure payment processing and fraud protection

  • platform hosting and infrastructure

  • customer support for Dancers and Organizers

  • marketing & visibility tools

  • search, filtering, and discovery features

  • continuous feature development and improvements

All fees listed below apply per booking.

6.1 Buyer Service Fee (Dancers)

For each booking, a 5% Buyer Service Fee is added at checkout.

This fee:

  • covers payment processing costs (Stripe)

  • contributes to platform operation and security

  • enables continued access to Hulaya’s search, filters, and booking tools

Formula: buyer_total = ticket_price × 1.05

The Buyer Service Fee is charged per transaction and is non-refundable except where required by law.

6.2 Organizer Service Fees (Commission per Booking)

Organizers pay a transaction-based commission on each ticket sold.
The commission rate depends on the Organizer’s chosen subscription plan.

This fee enables Hulaya to provide:

  • visibility to dancers

  • automated bookings

  • secure payments and payout infrastructure via Stripe Connect

  • dashboard tools

  • marketing features

  • event management systems

A) Free Organizer Plan

Commission per booking:

  • Tickets under 100 CHF → 2.9% + CHF 0.60

  • Tickets from 100–200 CHF → 1.9% + CHF 0.60

  • Tickets above 200 CHF → 1.5% + CHF 0.60

B) Pro Organizer Plan — 29 CHF/month

Commission per booking:

  • Tickets under 100 CHF → 2.2% + CHF 0.50

  • Tickets from 100–200 CHF → 1.7% + CHF 0.50

  • Tickets above 200 CHF → 1.2% + CHF 0.50

C) Premium Organizer Plan — 89 CHF/month

Commission per booking:

  • Tickets under 100 CHF → 1.5% + CHF 0.30

  • Tickets from 100–200 CHF → 0.9% + CHF 0.30

  • Tickets above 200 CHF → 0.6% + CHF 0.30

Organizer commissions apply only when a booking is successfully completed.
If no tickets are sold, no commission is charged.

6.3 Subscription Fees (Organizers)

Organizers may choose between three subscription levels:

  • Free Plan: 0 CHF/month

  • Pro Plan: 29 CHF/month

  • Premium Plan: 89 CHF/month

Subscription fees:

  • are billed monthly

  • are non-refundable

  • grant access to reduced commission rates and additional features

Subscriptions do not replace transaction fees — they reduce them.

6.4 Payout Timing

Payouts to Organizers occur:

  • only after the successful completion of the event, and

  • only through Stripe Connect, subject to Stripe’s own processing timelines.

Hulaya never handles funds directly and is not liable for Stripe delays or failures.

7. Cancellations & Refunds

7.1 Refund Policies

Each Organizer must define a refund policy within the event listing.

This policy determines:

  • eligibility for refunds

  • applicable deadlines and conditions

7.2 Refund Processing

Refunds are processed centrally by Hulaya via Stripe.

  • Organizers do not issue refunds themselves

  • Organizers do not have direct access to payment systems

  • Organizers may request or approve refunds via their dashboard

  • Hulaya executes refunds in accordance with the Organizer’s published refund policy

Refunds apply only to the ticket price.
Buyer service fees and payment fees are non-refundable.

7.3 Refund Requests & Disputes

  • Dancers must direct refund requests to the Organizer

  • Organizers may initiate refund requests through the Platform

  • Hulaya processes approved refunds technically but does not alter refund policies

Chargebacks, disputes, and payment reversals are handled by Stripe according to Stripe’s terms.

7.4 Event Changes & No-Shows

Organizers may:

  • change instructors

  • change locations

  • adjust schedules

  • cancel events

Dancers acknowledge that:

  • changes do not create claims against Hulaya

  • travel, accommodation, or other external costs are not reimbursed by Hulaya

8. Liability & Disclaimers

8.1 No Liability for Events

Hulaya is not liable for:

  • injuries

  • accidents

  • stolen items

  • property damage

  • medical emergencies

  • travel issues

  • event quality

  • unsafe conditions

  • instructor misconduct

  • cancellations or schedule changes

ALL such matters lie exclusively between the Organizer and the Dancer.

8.2 Platform Availability

Hulaya does not guarantee:

  • uninterrupted access

  • error-free operation

  • data accuracy

  • real-time updates

Hulaya may update, pause, or modify the Platform at any time.

8.3 Limitation of Liability

To the maximum extent permitted by law, Hulaya excludes all liability, including:

  • indirect damages

  • consequential damages

  • lost profit

  • lost opportunities

  • data loss

Total liability of Hulaya is limited to the amount of fees paid in the 12 months preceding the claim (typically minimal).

9. Intellectual Property

All Hulaya branding, design, structure, and text are owned by Hulaya.

Organizers grant Hulaya a royalty-free license to use images, videos, and descriptions for:

  • displaying the listing

  • promoting the Platform

  • marketing Hulaya’s services

Organizers must own the rights to everything they upload.

10. Prohibited Conduct

You may NOT:

  • create fake or misleading listings

  • bypass the Hulaya payment system

  • publish inaccurate event details

  • spam users

  • post harmful or illegal content

  • create multiple accounts

  • attempt to manipulate reviews or visibility

  • use the platform for non-dance events

Hulaya may suspend or delete accounts that violate these rules.

11. Stripe Payments

You agree to comply with:

  • Stripe Terms of Service

  • Stripe Connect Agreement

Stripe is solely responsible for:

  • payment processing

  • fraud checks

  • chargebacks

  • KYC/verification

  • withholding or releasing funds

Hulaya is not responsible for Stripe decisions.

12. Termination

Users may delete their accounts at any time.

Hulaya may suspend or terminate accounts without notice if:

  • Terms are violated

  • fraudulent activity is suspected

  • unlawful behavior occurs

13. Governing Law & Jurisdiction

These Terms are governed by Swiss law, excluding its conflict-of-law rules.

Jurisdiction: Bern, Switzerland

14. Changes to the Terms

Hulaya may update these Terms at any time.
Users are notified when significant changes occur.
