Terms and Conditions – hulaya

  1. Introduction

Welcome to hulaya.com, a digital marketplace operated by hulaya – Sole Proprietorship, Len Rieder, Stuckishausstrasse 11, 3037 Herrenschwanden, Switzerland (“hulaya”, “we”, “us”, “our”).

These Terms and Conditions (“Terms”) govern your use of our website and services (collectively, the “Platform”).
By accessing or using hulaya, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree, you may not use the Platform.

  1. About hulaya

hulaya is an online intermediary connecting dancers (“Users”) with independent studios, instructors, and event organizers (“Organizers”) who list workshops, camps, or events (“Listings”).

hulaya does not organize, host, or operate any of the events listed on the Platform.
Each Organizer is fully responsible for their own Listings, pricing, and event delivery.

  1. Account Registration

To access most features, Users must create an account.
When registering, you must provide accurate, current, and complete information.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

hulaya may suspend or terminate accounts that:

  • Violate these Terms,
  • Are used for fraudulent or unlawful purposes,
  • Or otherwise harm the integrity of the Platform.
  1. User Content

Users may upload or publish certain content (e.g., profile information, reviews, images, or event materials).
By uploading content, you grant hulaya a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and promote this content solely for operating and improving the Platform.

You represent and warrant that:

  • You own or have rights to the content you share;
  • Your content does not infringe third-party rights, violate any law, or contain offensive material.

hulaya reserves the right to remove or disable content that violates these rules.

  1. Services and Bookings

Users may book workshops, camps, and events through hulaya.
Organizers may list and manage their events, communicate with participants, and receive payments via Stripe Connect.

All transactions are one-time payments unless a subscription plan is explicitly chosen (see Section 9).
Bookings are only confirmed after successful payment and Organizer acceptance.

  1. Fees and Payments

6.1 Platform Fees (Organizers)

hulaya charges Organizers a commission for each successful booking:

  • 4.9 % for bookings up to CHF 100
  • 3.9 % for bookings between CHF 100–200
  • 2.9 % for bookings above CHF 200
    These rates include payment processing, platform operations, and customer service.
    hulaya may adjust these fees with prior notice.

6.2 Service Charge (Users)

A Service Charge (around 3%) is applied to each booking to cover secure payment processing (e.g., Stripe), customer support, and platform maintenance.
This charge is shown clearly at checkout before payment.
By completing your booking, you agree to this Service Charge as part of the total price.

6.3 Payment Processing

All payments are securely processed via third-party providers:

hulaya does not store or access complete credit card details.
Payment data is transmitted directly to the provider via encrypted connections.

  1. Refunds and Cancellations

Refunds follow our Refund & Cancellation Policy, which forms part of these Terms.

Key points:

  • Events scheduled for a specific date are exempt from the EU 14-day withdrawal right (Directive 2011/83/EU Art. 16(l)).
  • Organizers set their own refund conditions, displayed in each Listing.
  • If an event is cancelled by the Organizer, users receive a full refund including Service Charge.
  • No-shows are non-refundable unless otherwise stated.
  • Refunds are processed to the original payment method within approximately 5–10 business days.
  1. Organizer Responsibilities

Organizers act as independent sellers.
They are responsible for ensuring that:

  • Listings are accurate and up to date,
  • All legal, tax, and safety requirements are met,
  • Participant data is handled according to GDPR/DSG,
  • And their events are carried out as described.

Organizers indemnify hulaya against any claims related to their Listings, content, or conduct.

  1. Subscription Plans

hulaya may offer optional subscription plans for Organizers who want access to premium features (e.g., analytics, marketing tools, or featured listings).
Subscription fees are charged on a recurring basis and can be cancelled at any time through your account settings.
Unless otherwise stated, subscription payments are non-refundable once charged.

  1. Promotions and Contests

hulaya may occasionally offer promotions, contests, or sweepstakes.
Participation is voluntary and subject to separate terms, which will be provided at the time of each promotion.

  1. Feedback and Suggestions

If you submit feedback, ideas, or suggestions to hulaya, you agree that we may use them without obligation to compensate or credit you.
You grant hulaya a perpetual, worldwide, royalty-free license to implement or modify such feedback for platform improvement.

  1. Intellectual Property

All content, design elements, software, and trademarks on the Platform—including the hulaya name, logo, and brand identity—are the exclusive property of hulaya.
You may not reproduce, distribute, modify, or use any part of our intellectual property without prior written permission.

Users and Organizers retain ownership of their own uploaded content, subject to the license in Section 4.

  1. Limitation of Liability

hulaya provides the Platform “as is” without warranties of any kind.
We are not liable for:

  • Event quality or performance,
  • Organizer cancellations,
  • Personal injury during events,
  • Technical issues beyond our control.

hulaya’s total liability for any claim is limited to the lower of CHF 100 or the amount of Platform Fees we received for that booking.

  1. Termination

You may terminate your account at any time.
hulaya reserves the right to suspend or delete accounts that:

  • Violate these Terms,
  • Engage in fraud or abuse,
  • Or pose risk to the integrity of the Platform.

Upon termination, outstanding obligations (e.g., payments, refunds) remain enforceable.

  1. Governing Law and Jurisdiction

These Terms are governed by Swiss law.
All disputes shall be subject to the exclusive jurisdiction of the courts of Bern, Switzerland.
